	ChemUnity.com provides venue for the Participant to request quote(s) for his intended purchase of various chemicals from others through its Site (as defined below);

	ChemUnity.com is not party to actual transactions between the Participant and others;

	the Services (as defined below) and possibilities for the Participant are described on the Site,

PARTIES HAVE AGREED ON THE FOLLOWING TERMS AND CONDITIONS:

1. Definitions
In this agreement, the following definitions shall mean the following:

	RFQ: Request for Quote, stating Participant's requirements submitted through use of the Site;

	Registration: Participant/Participants registration through use of the registration form (all steps) on the Site;

	Services: RFQ-related services as described on the Site

	Site: the website www.ChemUnity.com;

2. General
The Participant may use the Services on the Site at its own risk subject to the terms and conditions of this agreement. The Participant may submit a RFQ and/or react thereon according to the Services provided on the Site. The Participant declares to have read and fully understood the explanation and demonstration of the Services on the Site.

The Participant may submit a RFQ and or react thereon unless the product is regarded a prohibited item as described in article 6

ChemUnity.com cannot and does not know whether any Inquiry or Registration is accurate, complete, misleading or deceptive or if the Sellers and Buyers will perform as promised. The Participant should always take due care in submitting an Inquiry or completing any or all other forms on the Site. Every transaction between the Participant and other Buyers and Sellers will be exclusively construed with the data provided by them through use of the Site.

3. Communication
ChemUnity.com shall communicate with the Participant on several subjects preferably by email. Each Participant agrees to respond to relevant requests by ChemUnity.com and vice versa. However, ChemUnity.com shall never become a party in the transactions between the Participant and others in whatever form.

4. Sales/Use Taxes
The Participant agrees that Chemunity.com is not obligated to determine whether sales or use taxes or custom duties or any other legal requirements of any kind or laws, statutes or regulations apply to the transactions between the Participant and others and is not responsible to collect, remit or report any sales or use taxes or custom duties arising from any transaction between the Participant and others to the appropriate authorities.

5. Password Security
ChemUnity.com shall provide the Participant in a secure manner with a unique and exclusive password for use of the Site upon entering into this agreement. The Participant's password may be used only to access the Site, use the Services, electronically sign the Participant's transactions and review the Participant's completed transactions. The Participant is solely responsible for maintaining the security of its password. The Participant is solely responsible for any use of or action taken under the Participant's password on this Site. The Participant may not disclose its password to any third party (other than third parties authorised by the Participant to use the Participant's account). If the Participant's password is compromised the Participant must change its password. ChemUnity.com shall provide a new unique and exclusive password and annul the old password upon request of the Participant without delay and free of charges.

6. Illegal Activity, Compliance with Laws, Fraud
The Site and Services and the goods in a RFQ may be used only for lawful purposes and in a lawful manner. The Participant agrees to comply with all applicable laws, statutes and regulations applicable to the Services including but not limited to submitting a RFQ, reacting thereon or buying and selling goods. The Participant may not register under a false name or use invalid or unauthorised methods. The Participant may not impersonate any other Participant or use another Participant's password. Such fraudulent conduct is a violation of the terms of this agreement and of applicable laws. Fraudulent conduct may be reported to law enforcement officials and ChemUnity.com will cooperate to ensure that violators are prosecuted to the fullest extent possible by law.

7. Disclosure of Information
ChemUnity.com shall use the data of the Participant as submitted with any Registration or RFQ or reaction thereon for the proper fulfilment of this agreement. ChemUnity.com shall extract information regarding the relevant markets on which ChemUnity.com and the Participants are active only on an anonymous basis.

ChemUnity.com shall not publicize or otherwise make available to third parties any data of the Participant unless necessary to ensure the integrity and operation of ChemUnity.com's business and systems or to the extent required by law.

8. (No) Warranties
ChemUnity.com represents and warrants:

- that the security of the data of the Participant is protected by a SSL 3 security level compliant system.

Although ChemUnity.com shall devote its best effort to maintain and enhance the quality of the Site and the Services, the Site and the Services are provided on an "as is" basis. Notwithstanding the above representations and warranties, ChemUnity.com makes no other representations or warranties of any kind, expressly or impliedly, including without limitation:

	that the Site or the Services will meet the Participant's requirements, will be uninterrupted, timely or operate without error;

	that the information, content, materials or products included on the Site will be as represented, available for sale at the time, lawful to sell, or that any relevant party will perform as promised;

	any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement;

	any implied warranty arising from course of dealing or usage of trade; and

	any obligation, liability, right, claim or remedy in tort whether or not arising from the negligence of ChemUnity.com.

To the full extent permissible under applicable law, ChemUnity.com disclaims any and all such warranties unless the Participant can prove that damages are caused by gross negligence of ChemUnity.com.

9. General release, Disputes
Because ChemUnity.com is not party to or responsible in connection to the Participant's transactions or other Participant's dealings and is not the agent of the Participant or others for any purpose, the Participant releases ChemUnity.com (and its agents and employees) from claims, demands and damages (actual and/or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with disputes between the Participant and others. Furthermore, ChemUnity.com will not be involved in resolving any disputes between the Participant and others related to or arising out of any transaction.

10. Limitation of liability
ChemUnity.com will not be liable for any damages of any kind including without limitation direct, indirect, incidental, punitive and consequential damages, arising out of or in connection with this agreement, the Site, the Services, the inability to use the Site or the Services or damages resulting from any goods purchased or obtained or messages received or transactions entered into through the Site or the Services.

11. ChemUnity.com's Grant
ChemUnity.com hereby grants a limited license to the Participant to make personal use of the Site and the Services only. This license expressly excludes the Participant to resale or commercially use the Site and the Services, make any derivative of the Site or the Services, collect and use Participants' email addresses or other Participants' information, ratings or listings, or extract or mine any data whatsoever.

12. Termination
ChemUnity.com reserves the right and has absolute discretion to terminate this agreement or the Participant's access to the Site or the Services or any current RFQ or reaction thereon immediately without prior notice for any reason. Participants may terminate this agreement at any moment provided the Participant observes a calendar month notice period and gives notice in writing by registered mail and by email. The agreement will only end if and when the Participant has fulfilled all its contractual obligations.

13. No Agency, Third-Party Beneficiary
ChemUnity.com is not the agent, fiduciary, trustee or other representative of the Participant. Nothing expressed or mentioned in or implied from this agreement is intended or shall be construed to give to any person other than the parties hereto any legal or equitable right, remedy or claim under or in respect to this agreement. This agreement and all of the representations, warranties, covenants, conditions and provisions hereof are intended to be and are for the sole and exclusive benefit of ChemUnity.com and the Participant.

14. Severability
If any provision of this agreement shall be deemed unlawful, void, or for any reason unenforceable, such provision shall be deemed severable from the remaining provisions of this agreement and shall not affect the validity and enforceability of any remaining provision.

15. Fees and Costs Payments
The Participant agrees to pay the fees and costs as published on the Site (click here to review the different fee structures for buyers and sellers). The fees and costs incurred by the Participant shall be invoiced by ChemUnity.com to the Participant and the Participant agrees to pay the invoiced amount within 30 days after the date of the invoice without any reduction or compensation even in case a transaction through use of the Site is not executed in part or in whole for no matter what reason.

The Participant agrees that the fees charged by ChemUnity.com can be altered periodically. ChemUnity .com shall explicitly and clearly announce any such alterations on the Site with a notice period of fifteen (15) days. The Participant's continued use of the Site and the Services after such alteration of fees constitutes the Participant's agreement with the altered fees.

In case the Participant does not agree with the altered fees the Participant shall discontinue the use of the Services and the Site and terminate this agreement.

16. Privacy
ChemUnity.com is committed to protecting and respecting the Participant's privacy and shall comply with applicable legislation. The privacy statement can be consulted on the Site and may be altered from time to time. Unless otherwise authorised or consented, the Participant agrees not to use any information regarding others, which is accessible from the Site, or disclosed to the Participant by ChemUnity.com except to submit a RFQ, react thereon or enter into and complete transactions. The Participant agrees not to use any such information for purposes of solicitation, advertising, unsolicited e-mail or spamming, harassment, invasion of privacy or otherwise objectionable conduct.

In addition to the information submitted at Registration the Participant shall provide ChemUnity.com with relevant information as and when requested. Upon request of the Participant, ChemUnity.com shall provide the Participant with all registered data regarding the Participant against payment of related costs. If incorrect, ChemUnity.com shall correct such data free of charge.

17. Applicable Law, Dispute Settlement
The Site and the Services are arranged, sponsored, or managed by ChemUnity.com in The Netherlands. The laws of The Netherlands govern this agreement and all of its terms and conditions, without giving effect to any principles of conflicts of laws. The Participant agrees that any action at law or in equity arising out of or relating to these terms and conditions shall be subject to arbitration by the Netherlands Arbitration Institute ("NAI") and shall take place in Rotterdam, The Netherlands in accordance with the procedure of the NAI, excluding any other court, public or private, and the Participant hereby irrevocably and unconditionally consents and submits to the exclusive jurisdiction of the NAI over any suit, action or proceeding arising out of these terms and conditions. ChemUnity.com and the Participant choose their domicile as written in the heading of this agreement.

18. General Provision Entire Agreement
Agreed upon by Participant's authorised officer by clicking on the 'I Agree' button during Registration and signed or to be signed by such Participant's officer without delay
